1. Introduction

Welcome to Airdale Executive Services (“AES”). These Standard Terms and Conditions (“Terms”) govern your use of our services. By engaging our services, you agree to comply with and be bound by these Terms.

3. Services

AES provides business consulting services, including but not limited to strategic planning, audits, analysis, product strategies, and operational improvements.

4. Engagement

All professional engagements will be initiated with a written Master Services Agreement (“MSA”) and a written Statement of Work (“SOW”) detailing the scope of services, deliverables, timeline, and fees. Both parties must sign these agreements before any work commences.

5. Fees and Payment

Fees for services will be outlined in the SOW agreement.

Payment terms are due upon receipt unless otherwise agreed.

Late payments may incur interest at a rate of 1.5% per month.

6. Confidentiality

AES agrees to keep all client information confidential and will not disclose any information to third parties without prior written consent from the client, except as required by law.

7. Intellectual Property

All intellectual property created during the engagement remains the property of AES until full payment is received. Upon payment, ownership of any deliverables will transfer to the client.

8. Limitation of Liability

AES’s liability for any claim arising out of or relating to this agreement shall be limited to the amount paid by the client for the services in question. AES shall not be liable for any indirect, incidental, or consequential damages.

9. Termination

Either party may terminate the engagement with 30 days written notice. In the event of termination, the client agrees to pay for all services rendered and expenses incurred up to the date of termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New Jersey.

11. Amendments

AES reserves the right to amend these Terms at any time. Any amendments will be communicated to the client in writing.

12. Entire Agreement

These Terms, together with the MSA/SOW agreements, constitute the entire agreement between AES and the client and supersede all prior agreements, understandings, and representations.
